Terms of Service

These Terms govern your use of the Soniqo Cloud transcription service at soniqo.audio/cloud (“the Service”) operated by Soniqo (“we”, “us”). By creating an account or using the Service you agree to these Terms.

1. The Service

The Service is Soniqo’s hosted speech API. It transcribes audio you send and marks who spoke, synthesises speech from text you send using the voices in its published catalogue, and returns the results to you, together with the other features we make available from time to time.

2. Account and authentication

If you use the Service for a company or other organisation, you represent that you have authority to bind it to these Terms, and “you” then means both you and that organisation.

You must create an account to use the Service. You may sign in with an email address or with a supported third-party identity provider (e.g. Google, GitHub). You are responsible for keeping your credentials and API keys confidential and for activity that occurs under your account.

3. Acceptable use

You agree not to use the Service to:

  • upload audio you do not have the right to process, including audio of other people recorded without their consent where that consent is required by law;
  • process content that is unlawful, defamatory, or that infringes intellectual-property or privacy rights of others;
  • attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service infrastructure;
  • present audio the Service generated as a recording of a real person, or use generated audio to deceive or defraud;
  • resell raw access to the Service without our written permission.

4. Your content and generated output

You retain whatever rights you already hold in the audio, text, transcripts, speaker data and other material you submit (“Your Content”). Subject to these Terms and to applicable law, you may use what the Service generates for you from it, including transcripts and synthesised audio. Because a model’s output is not necessarily unique, another customer may receive the same or similar output, so nothing here grants you exclusivity in it.

You grant us a limited licence to process Your Content solely to provide the Service to you, including running the speech pipeline, returning results, and keeping operational records as described in the Privacy Policy.

5. Billing

Free-tier limits and paid pricing are listed in your account dashboard. Prepaid credits are non-refundable except where required by law. You are responsible for any taxes that apply to your purchases. We may change pricing with at least 30 days’ notice; existing prepaid credits keep their original value. If we permanently discontinue the Service, we refund prepaid amounts you actually purchased and have not used, other than promotional, bonus, trial or otherwise non-cash credit.

6. Service availability

The Service is provided on a best-effort basis. We strive for high availability but do not guarantee uninterrupted operation. Scheduled maintenance windows will be announced where practical.

7. Termination

You may close your account at any time from the account page. We may suspend or terminate accounts that violate these Terms or that are inactive with a zero balance for an extended period, with reasonable notice where practical.

8. Warranties and liability

The Service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law our aggregate liability arising out of or related to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred US dollars.

9. Resolving a dispute

If you have a dispute with us, tell us first and give us a chance to put it right. Open a support ticket, or write to [email protected], describing the problem and what you would like us to do. Neither you nor Soniqo may begin a legal proceeding until 60 days after that notice, and any deadline for bringing the claim is paused while those 60 days run. Either of us may bring a claim in a small-claims court without waiting.

Any claim arising out of or relating to the Service must be brought within one year of the events it is based on, or it is waived, unless the law where you live gives you longer.

10. Governing law

These Terms are governed by the law of the State of Delaware, without regard to its conflict-of-law rules, and any proceeding not brought in a small-claims court will be brought in the state or federal courts located in Delaware. If you use the Service as a consumer in a country whose law entitles you to its own courts or to mandatory protections, you keep them.

11. Sanctions and export control

You may not access or use the Service if doing so would cause you or Soniqo to breach United States sanctions, export-control law or other trade restrictions, and you represent that no such rule prohibits you from receiving it.

12. The rest of the agreement

If any provision of these Terms is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganisation or sale of substantially all of the relevant assets. These Terms, together with anything they expressly incorporate, are the entire agreement about the Service, so something said on a web page or in a message does not add to them. The provisions on ownership, fees already owed, disclaimers, limitation of liability, indemnity and dispute resolution survive termination, or ending the agreement would remove the limits on a claim about the time before.

13. Changes

We may update these Terms from time to time. Material changes will be announced through the account dashboard or by email at least 14 days before they take effect; continued use after that date constitutes acceptance.
