Cloud Terms of Service

These Terms govern your use of the Soniqo Cloud transcription service at cloud.soniqo.audio ("the Service") operated by Soniqo ("we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
The Service is a hosted API that performs speech recognition, speaker diarisation, and speaker identification on audio you upload, and returns the transcript and related artifacts to you.
2. Account and authentication
You must create an account to use the Service. You may sign in with an email address or with a supported third-party identity provider (e.g. Google, GitHub). You are responsible for keeping your credentials and API keys confidential and for activity that occurs under your account.
3. Acceptable use
You agree not to use the Service to:
- upload audio you do not have the right to process, including audio of other people recorded without their consent where that consent is required by law;
- process content that is unlawful, defamatory, or that infringes intellectual-property or privacy rights of others;
- attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service infrastructure;
- resell raw access to the Service without our written permission.
4. Your content
You retain ownership of audio, transcripts, speaker profiles, and other data you submit ("Your Content"). You grant us a limited licence to process Your Content solely to provide the Service to you, including running the speech-recognition pipeline, returning results, and keeping operational records as described in the Privacy Policy.
5. Billing
Free-tier limits and paid pricing are listed in your account dashboard. Prepaid credits are non-refundable except where required by law. You are responsible for any taxes that apply to your purchases. We may change pricing with at least 30 days' notice; existing prepaid credits keep their original value.
6. Service availability
The Service is provided on a best-effort basis. We strive for high availability but do not guarantee uninterrupted operation. Scheduled maintenance windows will be announced where practical.
7. Termination
You may close your account at any time from the account page. We may suspend or terminate accounts that violate these Terms or that are inactive with a zero balance for an extended period, with reasonable notice where practical.
8. Warranties and liability
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law our aggregate liability arising out of or related to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred US dollars.
9. Changes
We may update these Terms from time to time. Material changes will be announced through the account dashboard or by email at least 14 days before they take effect; continued use after that date constitutes acceptance.
